Terms of Service

1. Acceptance of Terms

By accessing or using Porlogie ("the Service," "we," "us," "our"), you ("the Client," "you," "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Porlogie is a software-as-a-service platform that connects to third-party applications and systems on your behalf, processes data according to automation rules you configure, and generates online spreadsheets reflecting that data.

3. Account Registration

You must provide accurate, current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Client Responsibilities

You are responsible for:

• Ensuring you have the legal right to connect any third-party app, account, or data source to Porlogie, and that you have any necessary consents from individuals whose data is processed (e.g., your customers, patients, employees).
• Reviewing and approving automation configurations before activation (per the Pre-Activation Confirmation step).
• Reviewing automation outputs for accuracy, particularly before relying on any calculated financial figures or before customer-facing communications are sent.
• Keeping your connected app credentials/API keys valid and up to date.
• Notifying us promptly of any suspected unauthorized access to your account.

5. Acceptable Use

You agree not to use Porlogie to: process data you do not have lawful authority or consent to process; violate any applicable law or regulation; send unsolicited, deceptive, or harmful communications to third parties via the platform; attempt to reverse-engineer, disrupt, or gain unauthorized access to the Service. We reserve the right to suspend or terminate any automation or account found to violate this section.

6. Fees and Payment

Starter tier pricing, billing cycles, and any introductory discounts are as displayed on our Pricing page at the time of signup. Enterprise tier pricing is governed by a separate signed quote/agreement. Fees are billed in advance for the relevant billing cycle and are non-refundable except as set out in our Refund Policy. We reserve the right to change pricing with reasonable advance notice (e.g., 30 days) for existing clients.

7. Service Availability

We aim to provide reliable service but do not guarantee uninterrupted or error-free operation. For Starter tier, no formal uptime guarantee is provided. Enterprise tier clients may be subject to a separate Service Level Agreement.

8. Limitation of Liability

To the maximum extent permitted by law: Porlogie's total liability to you for any claim arising from or relating to the Service is limited to the total fees you paid us in the 6 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities, arising from your use of the Service. We are not responsible for errors, delays, or failures caused by third-party applications, APIs, or services you connect to Porlogie. You acknowledge that automation outputs (including calculated figures and auto-generated communications) should be reviewed by you before being relied upon or acted upon.

9. Indemnification

You agree to indemnify and hold Porlogie harmless from any claims, damages, or expenses arising from: (a) your breach of these Terms, (b) your violation of any law or third party's rights, or (c) data you connect to or process through the Service without proper authorization.

10. Data Ownership and Retention

You retain ownership of your data. Porlogie processes it solely to provide the Service as configured by you. Upon cancellation, your data is retained for 60 days in case of reactivation, after which it is permanently deleted, per our Data Retention Policy. You may request earlier deletion at any time by contacting support.

11. Termination

Either party may terminate the agreement at any time. Upon termination, automations are paused, and data is handled per our Data Retention Policy. We reserve the right to suspend or terminate accounts that violate these Terms.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notice. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of Pakistan, with courts in Islamabad having exclusive jurisdiction, without regard to conflict of law principles.
